Relativity is looking for an exceptional, well-rounded Corporate Counsel –Acquisitions to handle a broad range of the company’s complex M&A transactions and corporate matters. The position would report to the Corporate Counsel – Finance and the EVP – Corporate Affairs/Deputy General Counsel.Key Responsibilities:

• Draft and negotiate legal documents, including stock purchase agreements, asset purchase agreements and merger agreements, for complex corporate M&A transactions.
• Prepare schedules and review diligence relating to corporate M&A and finance transactions.
• Draft letters of intent and term sheets for proposed acquisitions.
• Counsel management team on proposed acquisitions.
• Negotiate and draft distribution output agreements with digital, cable and satellite providers and free TV licenses with television networks.
• Draft and negotiate employment contracts and other employment related documentation and counsel HR department on employment related issues.
• Handle the company’s corporate governance documents, including maintaining corporate entities, drafting operating agreements and keeping corporate minutes.
• Draft and negotiate non-disclosure agreements.
• Other duties, as assigned.

Required Skills/Qualifications:

• Excellent academic credentials, including a JD from a highly respected, top-tier law school.
• Must be a member of a bar in good standing.
• Minimum of 5 years as a transaction associate in a top-tier law firm with a focus in mergers and acquisitions.
• Entertainment experience is preferred, but not required.
• Strong team player that enjoys working independently and as part of a team.
• Excellent verbal and written communication skills required.
• Well organized, with strict attention to detail.
• Ability to multi-task and prioritize work assignments.
• Ability to work with and maintain confidential information.
• Candidate should display a great deal of initiative, strong interpersonal skills and ability to work well under
  pressure.
